I agree & release Yothera LLC of any & all liability/responsibility for any actions or in-actions. Yothera LLC is not held liable for any direct, indirect, incident, consequential, or punitive damages arising from using these services. Yothera LLC is not liable for actions on behalf of the client out of negligence or fraudulent misrepresentation. 

If Consultation, you understand the following: Consultant defined: Brings expertise in a particular area in which a consultee needs or wants to improve. Consultants work with the consultee, student, organization, healer, business person in partnership to ensure outcomes that support goals and a strategic plan of the individual. These consultations do not constitute clinical supervision and that I remain completely responsible – ethically and legally – for the decisions I make in my own clinical practice with my clients. My consultant will provide me with an opportunity to discuss clinical cases and issues about which s/he may have some expertise, and s/he may help me consider choices for responding, but the comments made for my consideration are not supervision mandates. I also understand that although we may sometimes need to discuss personal issues that may be relevant to my clinical work, these consultation services do not constitute psychotherapy. I understand the potential limits of the confidentiality of this relationship. To the extent possible, my case presentations will provide no identifiable client information. However, I understand that if I provide identifiable information about a situation and my consultant has an ethical or legal obligation to report, s/he will inform me at the time and will give me the opportunity to make the report myself.

I understand that if my consultant becomes aware that she knows or has a prior relationship with a presented client(s), or if she believes she has a potential conflict of interest with our relationship, she will notify me of that fact immediately and will cooperate in helping me find a referral for further consultation.

You are purchasing Yothera LLC’s services. The following Agreement is the Terms of Service. Please read it carefully. If you do not agree to the following terms, DO NOT purchase Services. By purchasing Services, you are accepting the following Agreement, & agree to & are bound by the following terms.

1. Parties: For purposes of this Agreement, you (the purchaser) are referred to as “Client.” Seller, is referred to as "Yothera LLC.”
2. Term: The engagement of services begins on the first date of service & ends on last date of service
3. Payment: Client agrees to total fee charged at the time of service. Special payment arrangements will be decided on by Yothera LLC.
4. Cancelation or reschedule: must be made 2 business days prior to appointment time. If cancelation or reschedule is not made 2 business days prior to appointment time, client is responsible for full payment of session time slot that was canceled or rescheduled session & no refunds are made.
5. Rescheduling: If a session is rescheduled 3 or more times, even with the 2 business day allotted time, session will be canceled & time slot which was rescheduled will be paid in full. 
6. Refunds/Returns: Yothera LLC does not offer refunds. Deposit can be applied to future session or class.
7. Confidentiality: Any information discussed or any information either party comes to know during Yothera LLC & Client’s one-on-one work together is confidential. This does not include information information that either party was aware of prior to executing this Agreement, nor does it include information that was gained by a third party, or information that was available to the public through no breach of confidentiality by Client. Confidential information may be shared if & only if waived by both parties in writing.
8. Non-Disparagement: Client agrees, during & after purchase of Products, to refrain from making any statements, whether oral or in writing, that negatively impact Yothera LLC’s program, business, services, products, or reputation. In addition, Yothera LLC agrees to refrain from making any statements, whether oral or in writing, that negatively impact Client or Client’s business. 
9. Assignment: This Agreement shall bind both Yothera LLC & Client & their respective heirs, legal representatives, successors, & assigns. Client may not assign its rights under this Agreement without express written consent from Yothera LLC.
10. No Guarantees; Disclaimer: NO GUARANTEES: Heather Corbet makes no guarantees of potential outcomes following session or consultation.
11. NOT PROFESSIONAL MEDICAL ADVICE: At no time should any of Yothera LLC's services, products, or programs be considered a substitute for professional medical or mental health services, nor should the service be construed as professional therapy. Yothera LLC’s services are not intended to treat, diagnose, cure, or prevent any disease. If at any time Client needs medical, and/or psychological treatment, it is Client’s responsibility to seek it out.
12. NOT LEGAL OR FINANCIAL ADVICE: At no time should any of Yothera LLC’s services be considered a substitute for professional legal or financial advice. If at any time Client needs legal or financial services, it is Client’s responsibility to seek it out.
13. Warranties: Both Yothera LLC & Client warrant that they have full authority to enter into this Agreement. Yothera LLC warrants that its services will be provided by qualified people & in a competent manner in accordance with industry standards. Client warrants that s/he has any necessary permission, licenses, rights, & releases to lawfully execute its duties set forth in this Agreement. Except for the express warranties in this agreement, neither party makes any ohter warranties either expressed or implied. 
14. Whole Agreement: This Agreement constitutes the entire agreement between Client and Yothera LLC. This Agreement supersedes & cancels all prior or contemporaneous discussions, writings, negotiations, and agreements.
15. Modification Waiver: The terms of this Agreement cannot be modified, supplemented, or amended unless agreed to in writing by all parties. In order to make the waiver binding, the party making the waiver must execute it in writing. The waiver of a term in this Agreement shall not be considered a waiver of any other terms of this Agreement and shall not be considered a continuing waiver. The modification or waiver of one term of this Agreement does not affect any other term in the Agreement, regardless of its similarity.
16. Severability: If any term in this Agreement is found to be void or voidable, the remaining terms of the Agreement are unaffected, and deemed to remain in full force and effect, including those terms that are similar.
17. Limited Liability: The amount of liability recoverable for any cause of action that arises under this agreement shall not exceed the amount paid for services outlined in this agreement, regardless of whether the cause of action is based in tort, contract or any other theory of liability. Under no circumstances will Yothera LLC be liable for special, incidental, indirect, or consequential damages of any kind, or for any loss of use, business interruption, costs of procurement of substitute services, lost profits, or lost data, even if the client has been advised of the possibility of such damages.  
18. Notices: All notices and communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered by registered or certified mail, postage prepaid, addressed to the party’s principal place of business, unless otherwise clearly stated in this Agreement that email notification shall suffice. 
19. Dispute Resolution; Costs and Fees; Applicable Law/Venue: Any dispute arising under this Agreement will be resolved by an online mediation service that is agreed upon by all parties or by a mediation in Wisconsin with a mediator agreed upon by all parties. The parties agree to complete mediation in good faith prior to pursuing any other available legal or equitable remedies.

Parties agree that this Agreement shall be governed by and construed in accordance with the laws of Wisconsin. Parties agree that the venue for any court proceedings arising out of this Agreement shall be in Boise, ID.. 

If Client takes legal action toward Yothera LLC & Yothera LLC is successful, Client is responsible for Yothera LLC's attorney’s fees, in addition to any other relief to which Yothera LLC may be entitled.

COACHING & CLIENT AGREEMENT  

This Coaching/Consulting Client Agreement / Contract (hereafter referred to as "the  Agreement") constitutes a contract between Jessica Maitri, (hereafter referred to  individually as the "Coach") and the Undersigned, yourself as indicated on the signature  page (hereafter referred to as the "Client").  

AS THE CLIENT, YOU SHOULD READ IT CAREFULLY AND RAISE ANY  QUESTIONS AND/OR CONCERNS PRIOR TO SIGNING THIS AGREEMENT. 

PROGRAM DETAILS: Jessica Maitri Performance Enhancement Coaching may  include 8, 12, or 24 weeks of coaching support, monthly groups for 2 hours or individual  60 minute sessions. Or you might choose to attend one of her monthly group  consultation groups that run from October to May.

From the date you sign this contract, you will be choosing to work with me in the  capacity you indicate in the payment and billing area of this agreement.  

COACHING SERVICES: Professional Coaching is a professional relationship that helps  people produce extraordinary results in their lives, careers, and relationships. Through  the process of coaching, clients deepen their learning, improve their performance, and enhance their quality of life. Coaching accelerates the client's progress by providing  greater focus and awareness of choice. Coaching concentrates on where clients are  now and what they are willing to do to get where they want to be in the future. Coaches  recognize that results are a matter of the client's intentions, choices and actions,  supported by the coach's efforts and application of the coaching process. 

You can expect that Jessica Maitri will be honest and direct, asking straightforward  questions and using challenging techniques to help you move forward. You are  expected to evaluate your own progress; and, if the coaching is not working as you  wish, you should immediately inform your Coach so that we can both take steps to  correct the problem. As with any human endeavor, coaching can involve feelings of  discomfort and frustration which may accompany the process of change. Coaching  does not offer any guarantee of success. Personal development and business  coaching are NOT therapy, and although Jessica Maitri has been a practicing  professional clinical counselor for over two decades, she is NOT in the role of  your therapist under this Agreement. 

A personal development/performance enhancement coach does not diagnose or treat  mental illnesses. If you are currently in therapy, you are strongly encouraged to inform  your therapist that you are also engaged in coaching, to help ensure that their work  with you is mutually supportive toward your goals. It is understood and agreed to by The  Client and The Coach that if either of us recognizes that you, the client, have a problem  that would benefit from psychotherapy, that the coach may refer or direct you to  appropriate resources in addition to or in lieu of Coaching. In some situations, as a  condition of our continuance as your coach, I may insist that you enter psychotherapy  and that we have your consent to discuss matters which concern you with your  psychotherapist for continuity of care. It is further understood that Jessica Maitri is not  obligated, nor would it be appropriate, to provide you, the client, with psychotherapy  services in any way. Personal development/performance enhancement coaching tends  to focus more on action, accountability, potential, and the future. Coaching services  are a good fit for individuals who are emotionally and psychologically healthy and who  want to make changes and move forward in their personal lives and achieve business  goals.  

SCOPE OF ENGAGEMENT: The Client chooses and agrees to participate fully in Brainspotting Consultation with Jessica Maitri. The Coach is here to help, guide, advise and support the Client as well as to review any work that is completed  during the program. 

The Coach may terminate or change the terms of this Agreement at any time in its  discretion upon notice to the Client if they feel that the professional coaching  relationship is not respectful. The Client understands that any failure on their part  to complete the action steps in full throughout the program will result in possibly  not receiving the full benefit of the program. 

PAYMENT & BILLING: Please put a check on the line of which program you are  choosing:  

The Client agrees to pay: 

1. Package of 6 sessions for Brainspotting consultation (total of $1,170) and if additional sessions are needed due to gaps in knowledge, client agrees to pay $195 for any additional add-on sessions

I UNDERSTAND AND AGREE TO THE FOLLOWING: 

•  Your bill is due at the time of service. I agree to have a credit card on file that will  be charge after each appointment. If for some reason my account reaches a  balance of $200, services can be suspended until the balance has been paid  in full. 
•  CANCELLATION FEES: As of July. 1st, 2025, clients will be charged $100.00 if  an appointment is cancelled/not attended/rescheduled without a 48 business hour notice  except in the case of an emergency. 
•  A NON-SUFFICIENT FUNDS CHARGE of $35.00 per check will be charged for  any checks returned to Yothera, LLC.

My signature verifies that I understand and agree to pay for charges incurred by  myself. I authorize recurring charges against my credit, debit, and/or health  savings account card. I have read this information and I understand and agree to  follow the policies listed above.  

Should you choose to terminate this Agreement at any time before the conclusion  of our services, any amount of the fee still owed by you will become due and  payable immediately. The Term of this Agreement will commence upon YOUR  acceptance of this Agreement.  

You further acknowledge that in accepting the terms of this Agreement and affirmatively  seeking the benefits YOU are taking full responsibility for YOUR OWN success. 

CONFIDENTIALITY: The Client understands that all information discussed is  confidential and that written permission is required for any coach to speak with anyone  regarding our work together. The Client understands that the Coach may participate in  professional consultation to assure that Clients are receiving the best coaching  possible. The Client further understands that at times telephone conversations, video,  online, group calls, webinars, texts, e-mails or faxes may be utilized, and that the  confidentiality of information transmitted through these venues cannot be guaranteed.  Coaching is not a medical treatment and is not covered by HIPAA. Since the Coach  may also be a licensed mental health professional, The Client understands that the  Coach is legally and ethically bound to protect either the Client or others from harm, and  that my confidentiality may be limited in this instance. This would include any  information the Coach might disclose that indicates that a child or elderly or disabled  person is being abused. The Client further understands that if they are at imminent risk  of hurting another, or themselves, the Coach is required to take protective action.  

INTELLECTUAL PROPERTY: Only authorized users, who have duly obtained access to  any Programs offered by Jessica Maitri/Yothera Method, by personally agreeing to the terms of  this Agreement are permitted to use and participate with such Programs. Except as  expressly authorized by this Agreement, the Client shall not provide or make available  any Documentation, Video, Audio, or any login member credentials to any third party, or  use the Documentation, Video, Audio, or any login member credentials to teach any  third party, or otherwise disclose or discuss information revealed in any portion of the  Program(s) for any purpose other than exercising rights expressly granted to the Client by this Agreement. The Client acknowledges that any Audio and/or Visual  Presentations, Documentation, and other elements of Jessca Maitri/ Yothera Method are protected under copyright, trademark, and other intellectual  property laws and international treaties.  

MUTUAL NON-DISCLOSURE: The Coach and the Client mutually recognize that they  may discuss the Client's future plans, business affairs, customer lists, financial  information, job information, goals, personal information, and other private information.  The Coach will not voluntarily communicate the Client's information to a third party. 

To honor and protect the Coach’s intellectual properties, the Client expressly agrees not  to disclose or communicate any proprietary information about the Coach's practice,  materials, or methods to any third parties. The Coach and the Client agree to be bound  by this mutual nondisclosure agreement during and after the termination of the coaching  relationship.  

HOLD HARMLESS: I agree to hold harmless the Coach from and against all losses,  expenses, damages, and costs, including reasonable attorney's fees, relating to or  arising from any information loss due to technical failure, use of the internet to  communicate with the Coach or the use of the Coach's Site, any arrangements made  based on information obtained by the Site, any products or services obtained through  the Site. The Coach does not warrant that the functions contained in any materials  provided will be error-free or that the website or server that makes such site available is  free of viruses or other harmful components. Security measures are absolutely taken to  prevent any issues and the Coach takes all reasonable actions to protect the Client.  

LIMITATION OF LIABILITY: 

THE PARTIES AGREE THAT IN NO EVENT SHALL THE CLIENT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,  EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR OTHER INDIRECT DAMAGES OF  ANY NATURE, FOR ANY REASON, INCLUDING, WITHOUT LIMITATION, THE  BREACH OF THIS AGREEMENT OR ANY EXPIRATION OR TERMINATION OF THIS  AGREEMENT, WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF  CONTRACT, TORD (INCLUDING NEGILIGENCE OR STRICT LIABILITY) OR  OTHERWISE, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH  DAMAGES. IN NO EVENT WILL EITHER PARTY (I) BE LIABLE FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES ARISING OUT OF THE TERMINATION OF  THIS AGREEMENT, OR (II) BE LIABLE FOR DAMAGES OR ALLEGED DAMAGES  HEREUNDER, WHETHER IN CONTRACT, TORT OR ANY OTHER LEGAL  THEORY, THAT EXCEED THE AMOUNTS REQUIRED TO BE PAID BY EITHER  PARTY AT THE OTHER, HEREUNDER. THE PARTIES FURTHER AGREE THAT  FOR AMOUNTS PAYABLE UNDER (INDEMNIFICATION SECTION) OR  (CONFIDENTIALITY SECTION) HEREUNDER, EITHER PARTY’S TOTAL LIABILITY  UNDER THIS AGREEMENT SHALL NOT EXCEED THE SUM OF ($0.00). AFTER THE  WORK HAS STARTED, THERE WILL BE NO REFUNDS ACCEPTED. THE  FOREGOING NOTWITHSTANDING, AS BETWEEN THE VENDOR OF THE  RESPECTIVE PARTIES, NOTHING IN THIS AGREEMENT SHALL CONFER ANY  DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL,  PUNITIVE OR OTHER INDIRECT DAMAGES OF ANY NATURE FOR ANY REASON BY THE PARTIES AGAINST SUCH PARTNER AND/OR VENDOR. 

DISPUTE RESOLUTION: It is agreed between the Client, his or her assigns, family and  estate and the Coach that any controversy or claim arising out of or relating to the  Agreement, or the breach of the Agreement, shall be settled by arbitration by an  accredited individual or organization with an arbitrator whom we mutually agreed upon.  The arbitration may occur by telephone.  

Limitations of Online Coaching & E-mail Support: Messaging Support and Online  Sessions are intended to provide quality information, support, and assistance with  reaching the Client's personal development and business goals. If any of the following  apply, traditional face-to-face psychotherapy is more appropriate: 1. If in in crisis or  having thoughts of harming yourself (e.g. suicidal thoughts) or harming someone else  (e.g. violent thoughts toward others) or psychotic symptoms. Please call 911 or 1-800- SUICIDE, which is the National Suicide Hotline or go to the emergency room. 2. If you  are in an abusive or violent relationship. 3. If you have been severely depressed,  anxious, or manic. 4. If you have serious substance abuse dependence issues. 5. If you  are a minor (under 18 years old). If the client is in a crisis, please call 911 or go to the  emergency room and do not use these services.  

IMPORTANT: READ CAREFULLY BEFORE ACCESSING OR USING Jessica Maitri or Yothera Method materials  INCLUDING ANY AUDIO AND/OR  VISUAL PRESENTATIONS. BY ACCESSING OR USING THE MATERIALS, YOU ACKNOWLEDGE THAT: YOU HAVE READ THIS AGREEMENT, YOU  UNDERSTAND IT, THAT YOU ACCEPT, AND AGREE TO BE BOUND BY ITS  TERMS. BY SIGNING BELOW, YOU ACKNOWLEDGE THAT YOU UNDERSTAND  AND AGREE TO ALL OF THE AFOREMENTIONED TERMS, INCLUDING THOSE  RELATED TO PROGRAM FEES, AUTOMATIC BILLING IF NOT PAID IN FULL,  STRICT NO REFUND POLICY, AND CONFIDENTIALITY. 

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year of purchase.
